This page has two parts: the Master Services Agreement that covers all my work, and the standard Statement of Work for the Agent Status Test.
Master Services Agreement
This Master Services Agreement (the "Agreement") is between Allana Jackson, a sole proprietor doing business as A. Jackson ("I" or "A. Jackson"), and the company named in the Statement of Work ("you"). It covers every service I provide to you under a Statement of Work ("SOW"), such as the Agent Status Test, Full Status Coverage or Release Guard.
1. How it works
Each project gets its own SOW, which sets the scope, deliverables, timeline, price and any guarantees. This Agreement covers everything else. If the two disagree, the SOW controls for that project.
You accept this Agreement and an SOW when you sign them, check the acceptance box at checkout, or pay an invoice that references them.
2. Payment
You pay the fees in each SOW. Invoices are due within 15 days. If a payment is more than 15 days late, I may pause work after giving you written notice, and the SOW's delivery dates move by the length of the pause. Fees exclude taxes, which you pay except for taxes on my income.
Monthly services such as Release Guard bill in advance each month and renew until either of us cancels with 30 days' written notice.
3. What you provide
You give me the materials and access listed in the SOW, and you confirm you're allowed to share them with me. You don't send me customer records, account numbers or production data unless the SOW asks for them. Release Guard uses only conversations your team chooses to send, with names and account numbers removed.
4. Confidentiality
Each of us keeps the other's non-public information confidential and uses it only for the project. That covers your policies, statuses, systems, agent replies, test results and the report, and my unpublished methods and pricing. This doesn't apply to information that's already public, that the other party already had, that it got legitimately from someone else, or that it developed independently. Either of us may disclose information when the law requires it, after telling the other party if the law allows.
When a project ends, or whenever you ask, I delete or return your materials and my copies of your report, except for copies I must keep by law or that sit in routine backups until they're overwritten.
5. Data protection
The services are designed to run without personal data. If you send me personal data anyway, I use it only to deliver the SOW, protect it with reasonable security, and delete it when the project ends. If you need a data processing agreement, I'll sign a reasonable one.
AI tools. I may use AI tools to draft scenarios, run tests and organize results. I don't put your confidential materials into any tool that uses them to train its models. Every grade and every finding in a report is reviewed by me.
6. Who owns what
- You own the deliverables made for you, including your report, your fixes and your test set, once you've paid in full.
- I keep my own tools, templates, methods, scenario formats and know-how, including what I had before the project and what I develop that isn't specific to you. You get a permanent, free license to use any of these that are built into your deliverables, for your internal business.
- De-identified patterns. I may keep general lessons and scenario patterns from the work, with your name, your data, your policies and anything that could identify you removed, and use them in future work.
7. Publicity
I won't name you, quote you, or describe your project publicly without your separate written approval for each use.
8. What the services are and aren't
The services test what an AI agent tells customers against the statuses and published policies you provide. Reports state facts. They aren't legal, compliance or regulatory advice, an audit, or a certification, and they don't guarantee the agent will never give a wrong answer. You decide what to change in your agent and your policies.
9. Warranties
I'll perform the services in a professional, workmanlike way, consistent with the SOW. The SOW's guarantees (such as Until-It-Passes and Day-10) are your remedies if I don't. Apart from that, the services and deliverables come as they are, without other warranties, to the extent the law allows.
10. Limit of liability
Neither of us is liable to the other for lost profits or for indirect, special or consequential damages. Each party's total liability under this Agreement is limited to the fees you paid under the SOW the claim relates to, in the 12 months before the claim. These limits don't apply to breaches of confidentiality, a party's fraud or willful misconduct, or your payment obligations.
11. Ending the Agreement
Either of us may end this Agreement or an SOW with written notice if the other materially breaches it and doesn't fix the breach within 15 days of notice. You may cancel an SOW for convenience with written notice. You then pay for work done up to that date, and the deposit is non-refundable unless a guarantee applies. Sections 2, 4, 5, 6, 7, 8, 10 and 12 survive the end of the Agreement.
12. General terms
- Independent contractor. I'm not your employee or agent.
- Notices go by email to the addresses in the SOW.
- Governing law: the State of New Jersey, with disputes in the state or federal courts in New Jersey.
- Assignment. Neither of us may transfer this Agreement without the other's consent, except as part of selling the business.
- Entire agreement. This Agreement and its SOWs are the whole agreement and replace earlier discussions. Changes must be in writing, and an email both of us agree to counts. Purchase-order terms don't apply.
- Force majeure. Neither of us is responsible for delays caused by events outside our reasonable control.
The Agent Status Test: standard Statement of Work
This Statement of Work ("SOW") is part of the Master Services Agreement above. If this SOW and the Agreement disagree, this SOW controls for this project.
Start date (Day 1): the business day after I have both the deposit (or a signed purchase order) and all three kickoff items in section 4.
1. What I'll test
- 1 AI support agent, named in your order.
- Up to 3 flows, named in your order (for example transfer status, cancellations and refunds).
- 150 scenarios, written as synthetic customer messages mapped to your transaction statuses and published policies.
I run every Critical scenario 3 times, because an AI agent can answer the same question differently. One failure flags the scenario.
2. What you'll get
- The Wrong-Answer Report. Every failed answer with the full conversation, the actual transaction status, the policy I checked it against, the correct answer and a severity rating (Critical, High or Informational). Critical issues come first.
- The fixes, written. Two lists: fixes your team can paste in today, and ticket-ready specs for anything that needs engineers.
- A retest. I retest every Critical and High fix within 30 days of delivery and record the result.
- Your test set. Loaded into your platform's testing tool where it supports this, plus a CSV copy you keep.
- A one-page summary for leadership, a recorded video walkthrough of the report, and one round of written questions and answers.
3. Timeline (business days)
- Before Day 1 (you): I email you the kickoff checklist when you accept this SOW. You send the three kickoff items (section 4). Day 1 is the business day after I have all three.
- Days 1 to 2 (me): I write the scenarios from your statuses and policies.
- Day 3 (both): I send the scenarios. You approve them in writing within 1 business day.
- Days 4 to 8 (me): I run every scenario and check each answer against the status and the policy that applies.
- Days 9 to 10 (me): I deliver the report, the fixes, the test set, the summary and the recorded walkthrough.
All communication happens by email or in shared documents. No calls are required.
4. What I need from you
- Your transaction-status definitions: the list of statuses and what each one means.
- Your help content and the policies that apply to the flows in scope.
- Test access: a staging environment or your vendor's preview mode. If you can't grant access, you can run the scenarios yourself and paste the agent's replies into the test sheet, or send a screen recording of each run.
Please send no customer records, account numbers or production transcripts. The Test doesn't need them.
If the items don't arrive. If I don't have all three items within 30 days of your acceptance, your deposit becomes a credit you can use toward this Test or another of my services within 90 days. If you don't use the credit in that time, it expires and this SOW ends.
5. Price and payment
- $7,500 flat.
- $3,750 (50%) on acceptance of this SOW, by card or US bank payment (ACH), or by invoice due within 15 days.
- $3,750 (50%) on delivery, by invoice due within 15 days.
- Prices are in US dollars and exclude any taxes that apply.
6. The Test Record Standard
Every engagement is measured against this standard: every scenario run and recorded, every finding traceable to its conversation, status, policy and correct answer, every failure with a written fix, results your team can reproduce, and delivery by Day 10.
7. Guarantees
Until-It-Passes. If a finding is incomplete, if your team can't reproduce a result with my test set, or if a fix I wrote fails the retest because of how I wrote it, I correct it free until it passes. This applies for 60 days after delivery. Fixes you haven't applied, platform limits and later changes to your agent aren't covered.
Day-10. The 10 days start when I have all three kickoff items. If you approve your scenarios within 1 business day of receiving them and I miss a complete record by Day 10, I refund everything you've paid for this SOW. If your approval arrives late, the delivery date moves by the same number of business days.
8. Not included
Production transcript review, building test data in your systems, voice or non-English testing, logging in to your systems to apply fixes, legal or regulatory mapping, dashboards, and unlimited revisions. More flows or scenarios fall under Full Status Coverage. Ongoing retesting after changes falls under Release Guard. Each needs its own SOW.
9. The report
The report states facts: what the agent said and what it should have said under your published policy and the status you gave me. It doesn't say whether you comply with any law or regulation. It's confidential and yours to share as you choose. I delete my copies of your materials on request, as set out in the Agreement.
10. Acceptance
By checking the box at checkout and paying the deposit or requesting an invoice, you accept this SOW and the Master Services Agreement above.
